Partner Programme Terms

1. The programme

The Asteris Partner Programme (the "Programme") is operated by WOW Enterprise Company (My Cosmic Message Pty Ltd, ABN 30 652 358 159), trading as Built by Asteris ("we", "us", "Asteris"). It allows approved partners ("you", "Partner") to earn commissions by referring new paying customers to builtbyasteris.com.

The Programme is managed through Endorsely (endorsely.com), a third-party affiliate platform. Your use of Endorsely is also governed by their terms of service.

2. Eligibility and approval

The Programme is open to individuals and organisations who genuinely publish content about social media strategy, content creation, brand voice, or agency workflows. All applications are reviewed manually. We are not obliged to accept any application and may decline without providing a reason.

Approved status is specific to you and cannot be transferred. We may revoke approval at any time if you breach these terms or if your promotional activity no longer aligns with the Programme's standards.

3. Commission structure

Approved partners earn a 25% recurring commission on the net subscription revenue paid by each customer they refer, for a period of 12 months from the date of that customer's first payment.

Commissions are calculated on the subscription price at the time of the referral. Future price changes do not retroactively alter the commission base for existing referrals.

A referral is attributed to you when a customer clicks your unique tracking link and completes a paid subscription within the 90-day cookie window. Customers who arrive via other channels after clicking your link may not be attributed if the cookie has expired or been cleared.

Commissions are not payable on: your own subscriptions; subscriptions by immediate family members or people in the same organisation as you; refunded or charged-back transactions; or any transaction we determine to be fraudulent or in violation of these terms.

4. Payouts

Commissions are paid monthly through Endorsely, subject to a minimum payout threshold as set in your Endorsely dashboard. Payouts are subject to a 30-day hold period to account for the Stripe refund window.

You are responsible for providing accurate payout details in your Endorsely account. We are not liable for commissions lost due to incorrect payout information. All commissions are paid in AUD unless otherwise specified in Endorsely. You are responsible for any taxes or withholding applicable in your jurisdiction.

5. Permitted promotion

You may promote Asteris products through your own website, newsletter, podcast, social media accounts, or video content — provided all promotion is honest, accurate, and compliant with applicable advertising disclosure laws (including the ACCC's influencer marketing guidelines and the FTC's endorsement guidelines where applicable).

You must clearly disclose your affiliate relationship with Asteris in all promotional content. Phrases such as "affiliate link", "I earn a commission if you purchase through this link", or "#ad" are acceptable disclosures.

6. Prohibited conduct

The following are strictly prohibited and will result in immediate termination and forfeiture of unpaid commissions:

• Bidding on paid search ads using Asteris brand terms ("Asteris", "Built by Asteris", "Plan by Asteris", "Forge", "Bank") or any variation
• Publishing your affiliate link on coupon, cashback, rebate, or deal aggregator sites
• Sending unsolicited emails or direct messages containing your affiliate link (spam)
• Self-referrals or referring immediate family members or colleagues within the same organisation
• Creating fake reviews, misleading comparisons, or false claims about Asteris products or competitors
• Cookie stuffing, forced clicks, or any other fraudulent attribution technique
• Using Asteris branding, logos, or trademarks in ways not expressly authorised

7. Intellectual property

We grant you a limited, non-exclusive, non-transferable licence to use Asteris logos, screenshots, and approved marketing assets solely for the purpose of promoting the Programme in accordance with these terms. This licence terminates immediately upon termination of your participation. You may not alter, distort, or create derivative works from our brand assets without written approval.

8. Termination

Either party may terminate participation at any time. You may withdraw by notifying us at hello@builtbyasteris.com. We may terminate your participation immediately if you breach any of these terms.

On termination: your tracking link is deactivated; commissions already earned and not yet paid will be paid on the next regular payout cycle subject to the hold period; commissions on in-progress referral windows will be forfeited if termination was due to a breach.

9. Relationship

You are an independent contractor, not an employee, agent, or representative of Asteris. You have no authority to enter into agreements or make representations on our behalf. You are responsible for your own tax obligations arising from commissions earned.

10. Liability

To the extent permitted by law, Asteris is not liable for indirect, incidental, consequential, or punitive damages arising from your participation in the Programme. Our total liability is capped at the commissions paid to you in the three months preceding any claim.

11. Changes to these terms

We may update these terms at any time. Material changes will be communicated by email to your registered partner address with at least 14 days notice. Continued participation after the notice period constitutes acceptance of the updated terms. If you disagree, you may terminate your participation before the changes take effect.

12. Governing law

These terms are governed by the laws of New South Wales, Australia. Disputes will be resolved in the courts of New South Wales unless both parties agree to an alternative resolution process.
